Gem Stone Music JA
The terms talent management teams and independent talent accept before listing profiles and taking bookings.
Effective 31 October 2026 · Version 2026-10-31-v3
This agreement governs participation by management teams and independent talent in the Gem Stone Music JA booking marketplace operated by Gem Stone Music Consultants Limited ("Gem Stone"). It applies alongside the Privacy Notice, applicable platform terms and the terms accepted for each booking.
Participation is open to management teams and independent talent who are able to enter into this agreement. You must provide accurate, current information about yourself, your business and each talent profile you control, and keep it up to date. Names, biographies, images, genres, availability and booking requirements must be truthful and must not misrepresent experience, credits, audience reach or affiliation.
You confirm that you hold the permissions and authority necessary to list and represent each talent profile you control. Gem Stone may request supporting evidence. Platform approval and verification do not create or replace that authority.
You must hold the rights, licences and consents needed for every name, photograph, logo, biography, audio, video and other item you upload, including permissions from photographers, labels and co-performers where relevant. Uploading material that infringes another person's rights is a breach of this agreement.
You grant Gem Stone a limited, non-exclusive licence to host, display, adapt for formatting and promote approved profile content, for the purpose of operating the service and marketing it.
You may end active promotion at any time by hiding or removing a profile or by asking support. Ending active promotion does not delete booking, contract, payment and audit records that Gem Stone must keep for legal, accounting and dispute purposes, and those records may retain the profile information current at the time of the booking.
Access is personal. Each person acting for an account needs their own login with permissions appropriate to their role, and logins must not be shared.
You are responsible for activity carried out through your account and for the people you invite. Remove access promptly when a person should no longer have it, and tell Gem Stone without delay if access has been compromised or should be revoked.
Each accepted booking records the material terms agreed for that engagement: the scope of the performance, the fee and currency, the date and time zone, the performance start and end, the set duration, arrival and soundcheck times, the rider, and the allocation of travel and technical responsibilities where applicable.
Material requirements must be recorded and agreed through the platform. Unresolved material details must be clarified before confirmation; neither party may impose additional material obligations unilaterally.
Tell Gem Stone and the promoter promptly, in writing through the platform, if a delay or an inability to perform becomes likely, so that the booking can be addressed rather than discovered on the day.
A different performer may not be substituted, and the performance may not be materially changed, without the agreement required by the booking terms.
Cancellation, non-performance and events outside a party's reasonable control are handled under the accepted booking terms and the Cancellation & Refund Policy. A cancellation is not treated as misconduct by itself; the circumstances and the agreed terms determine the outcome.
All marketplace booking payments, including any remaining balance, are made through Gem Stone. You must not solicit, accept or arrange payment outside the platform for a marketplace booking, and must not ask a promoter to do so.
Gem Stone's commission is 5% of the full agreed booking price, collected entirely from the initial 50% deposit. No further commission is taken from the remaining balance.
Payment-processing charges are separate from the commission and are never deducted before commission is calculated. They may be borne by Gem Stone or by the management or talent side, according to the allocation expressly disclosed and accepted for that individual booking; no allocation applies by default. The applicable allocation must be recorded in the accepted agreement before any live payment is collected, together with the estimate in force. Figures shown before collection are estimates, identified as such; actual charges replace them once known and are reconciled without charging the same amount twice. No undisclosed surcharge is added to the promoter.
Gem Stone Direct engagements and historical accepted agreements keep the commercial terms recorded for them and are not recalculated under this agreement.
No universal payout schedule is currently configured and no payout automation is active. For any future live transaction, the applicable payout arrangement must be disclosed and agreed for that booking before payment is accepted. Nothing in this agreement creates a fixed payout timeline, and Gem Stone is not a bank, an escrow service or a holder of funds on trust.
Payouts remain subject to confirmed processor settlement, the deductions agreed for the booking and documented payment holds where justified. Each collection shows its state, from payment received through processor settlement to payout submitted and confirmed. Where a payout is held for a specific issue, such as suspected fraud, a payment dispute, a credible non-performance complaint, a processor requirement or a legal requirement, the reason is documented, notice is given, a response is invited and a review date is set. The hold is limited to the amount related to that issue where that is practicable, and unaffected funds follow the arrangement disclosed for that booking.
Enquiries, offers, agreements, approvals, payments and changes are conducted through Gem Stone, so that both sides have one reliable record of what was agreed.
Before coordination contacts are released, messages may not contain phone numbers, email addresses, social handles, payment details or links intended to move a booking off the platform, and messages are screened for this.
Coordination contacts are released only after the current agreement is accepted by the parties, the required Gem Stone approval is in place, the initial 50% deposit has cleared, the full commission has been allocated, availability has been cleared and the booking is confirmed.
After release, those contacts may be used for legitimate coordination of that booking. The agreement, its changes and its payments remain recorded on the platform. These measures reduce the risk of circumvention; they cannot prevent every attempt and are not a guarantee against loss.
Authorised Gem Stone staff may review booking-related records, including messages, offers, agreements, payment records and uploaded evidence, for support, moderation, dispute resolution, fraud prevention and compliance with legal obligations, as described in the Privacy Notice. Moderation decisions and account actions are recorded against the reviewer.
Released contact details may not be used for unsolicited marketing, public disclosure or sharing unrelated to the booking. They may be kept and used after the engagement only for necessary follow-up, dispute handling or legal obligations, and only for as long as those purposes require.
Gem Stone processes personal data as described in the Privacy Notice. You remain responsible for personal data you handle outside the platform.
Cancellations, refunds and non-performance are dealt with under the accepted booking terms, the Cancellation & Refund Policy and any mandatory rights that apply. Commission collected from the deposit is not automatically non-refundable: when money is refunded under those rules, the related commission and talent allocation are reversed in proportion to the amount actually refunded and on the same basis.
Where a refund, chargeback or processor reversal creates a shortfall, Gem Stone records it using a documented breakdown: the amount actually refunded or reversed; the amount already recovered or reversed through the ledger; actual non-returned processing charges allocated under the accepted agreement; the amount attributable to your established breach or other agreed responsibility; and any resulting repayment balance.
A chargeback is not by itself a finding that you are responsible. Responsibility is assessed on the evidence and on the agreed allocation of obligations. Recovery is limited to documented loss, excludes double recovery, penalties, speculative losses and amounts attributable to Gem Stone's own error, and is notified to you with its basis and an opportunity to respond. Gem Stone does not debit a bank account or begin debt collection without a separate legal basis and your authority, or a court order.
Raise a booking dispute or complaint with Gem Stone support. Gem Stone reviews the platform record, including messages, offers, the accepted agreement version, payment records and any evidence either party uploads, gives both sides an opportunity to respond, and records the outcome with its reasons. Gem Stone tells you the expected response time when the dispute is raised.
If an outcome is not accepted, the further options described in the response remain available, together with the governing-law provisions below. A complaint or allegation is not by itself a finding of fault.
Gem Stone may restrict a feature, suspend an account or end this agreement for material or repeated breach, fraud, impersonation, unauthorised representation of talent, off-platform payment solicitation, or a legal or processor requirement. Where it is reasonable to do so, a narrower step is taken first, such as requiring a correction or reviewing a specific booking.
You may stop participating at any time by asking Gem Stone to close your account, subject to bookings already confirmed and obligations already incurred.
Ending or suspending an account does not by itself forfeit money earned on completed or performed bookings. Confirmed bookings that have not yet taken place are handled as set out below, and legitimate outstanding payouts remain payable.
If an account is suspended or this agreement ends, Gem Stone identifies the affected confirmed bookings and works through them with you: performing them where that is lawful and practical, or cancelling them and applying the refund policy.
Gem Stone lists talent, hosts negotiation, collects booking payments, administers bookings and provides support. It does not guarantee bookings, income, audience size, ticket sales or promotion results, and a listing is not a promise of work.
Where Gem Stone collects payment, coordinates a confirmed booking or acts on a participant's instructions, it does so within that limited role. Nothing in this agreement makes either party the general agent, employer or insurer of the other, and nothing in it excludes liability or rights that cannot lawfully be excluded, including rights under mandatory Jamaica law.
This agreement is governed by the laws of Jamaica. Before starting proceedings, raise the issue with Gem Stone support at support@gemstonemusicja.com and allow a reasonable opportunity for review through the process above. Nothing in this agreement removes a right you have under mandatory Jamaica law.
Gem Stone may publish a new version of this agreement. Material changes take effect only after the new version is accepted, and acceptance is required before further marketplace activity. Published versions are fixed once issued and accepted wording is not changed under the same version identifier. Historical bookings and the terms accepted for them are not rewritten retrospectively.
As independent talent you control your own profile and are responsible for its accuracy and for the bookings you accept.
You may later invite a manager, but control is not transferred until Gem Stone approves that assignment.

This is the current published text. When it is accepted, the acceptance record keeps this version and the content hash shown above, so the exact wording reviewed can be identified later.
