Agreement Amendments (2026)

This document records amendments that apply to engagements entered into from 31 October 2026 onwards. It does not replace, reissue or rewrite an agreement that has already been signed.

The signed text of the Event Promoter Master Agreement and the Marketplace Participation Agreement continues to govern the version each party accepted, and its version and content hash remain on record.

Where an executed agreement is to be varied, the variation is agreed in writing with the affected party and recorded against that agreement. Nothing here varies an executed agreement automatically.

The following apply to new engagements and clarify existing obligations rather than adding new charges:

• Event-specific commercial terms. Ticket prices, processing charges, platform fees, buyer-paid charges, taxes, currency, refund and chargeback allocation, deductions and settlement conditions are those in the approved Event Commercial Schedule for that event. There is no universal processor-fee allocation between events.
• Schedule approval before sales. No event goes on sale until its Event Commercial Schedule is approved and the disclosed terms are visible to buyers at checkout.
• Event approval. Each event requires Gem Stone approval of the listing, including date, venue, performers, categories and prices, before tickets are offered.
• Verification. Promoter verification and ticket-selling approval are separate. Identity verification is performed by Didit through its hosted process; Gem Stone does not collect or retain identity-document images or biometric templates.
• Privacy obligations. The promoter handles attendee information only for delivering the event, follows the Privacy Notice, and does not use ticket data for marketing without that person’s separate consent.
• Refunds and chargebacks. Cancelled events are refunded to customers first, whether or not the promoter has already settled with Gem Stone. Chargeback allocation follows the approved schedule for the event, and no allocation applies across events.
• Settlement. Settlement follows the approved schedule and verified processor settlement. No payout timing is promised that is not disclosed for that event.
• Suspension and appeals. Restrictions are proportionate to the issue, the reason is given, and the Complaints & Appeals procedure is available.
• Sandbox status. No live payment gateway is connected. Only simulated payments are available, they do not move real funds, and no live ticket sales take place until live processing is enabled and disclosed.

• Professional communication. Booking conversations are governed by the Professional Communication Policy, including automated screening and the prohibition on moving a negotiation or payment off the platform.
• Booking Client participation. The client side of an enquiry is governed by the Booking Client Terms. Those terms do not make a Booking Client an event promoter and do not impose promoter obligations on them.
• Account restrictions and appeals. Restrictions apply to the capability concerned where that is proportionate, the reason is given, and the Complaints & Appeals procedure is available.
• Payout language reflects current capability. No payout schedule is configured and no payout automation is active. Payout timing is disclosed and agreed for a booking before a binding payment obligation arises, and is subject to verified processor settlement. Nothing in this amendment creates a fixed payout timeline, and no participant is promised one.
• Commission and recovery unchanged. The 5% marketplace commission, its calculation from the full agreed booking price, its collection from the deposit, and the existing reversal and recovery calculations are unchanged by this amendment.

Commission rates, commission basis, deposit structure, reversal calculations, ticketing fee arrangements already approved for an event, and every historical or executed agreement remain as they were.

No provider certification, payment guarantee, settlement guarantee or payout schedule is created by this document.
